Job Purpose

The Conveyancing & Corporate Advocate is responsible for managing all legal aspects of property transactions and providing corporate legal support to the company. The role ensures compliance with Kenyan land laws, protects the company’s interests in real estate dealings, and supports smooth execution of property acquisitions, sales, leases, and corporate governance matters.

Key Responsibilities

Conveyancing & Real Estate Transactions

  • Conduct due diligence on property titles, including searches at the Lands Registry and relevant authorities.
  • Draft, review, and negotiate conveyancing documents including sale agreements, leases, transfers, charges, discharges, and easements.
  • Oversee property acquisitions, sales, subdivisions, amalgamations, and registrations.
  • Liaise with land registries, surveyors, valuers, financiers, county governments, and other stakeholders to facilitate property transactions.
  • Ensure timely payment of stamp duty and registration of conveyancing instruments.
  • Advise management on land tenure, zoning regulations, land use, and compliance with applicable property laws.

Corporate & Commercial Legal Support

  • Draft, review, and negotiate corporate and commercial agreements including joint ventures, MOUs, shareholder agreements, and service contracts.
  • Provide legal advisory services on corporate structuring, compliance, and risk management.
  • Support company secretarial functions including board resolutions, statutory filings, and corporate records.
  • Ensure compliance with statutory, regulatory, and governance requirements.

Risk Management & Compliance

  • Identify legal risks related to property transactions and corporate operations and propose mitigation strategies.
  • Handle disputes related to land, leases, contracts, and corporate matters, including liaising with external counsel when required.
  • Monitor changes in land and corporate law and advise management on legal implications.

Stakeholder & Internal Support

  • Work closely with sales, finance, project, and operations teams to ensure legally sound transactions.
  • Provide legal guidance to management and staff on real estate and corporate legal matters.

Qualifications & Experience

  • Bachelor of Laws (LL.B) from a recognized institution.
  • Postgraduate Diploma in Law (Advocates Training Programme).
  • Admitted as an Advocate of the High Court of Kenya with a current practicing certificate.
  • Minimum 5 years’ experience in conveyancing and corporate practice, preferably within a real estate or property development environment.

Key Skills & Competencies

  • Strong knowledge of Kenyan land laws and conveyancing procedures.
  • Excellent drafting and negotiation skills.
  • High attention to detail and ability to manage multiple transactions.
  • Strong communication and stakeholder management skills.
  • Integrity, confidentiality, and sound judgment.

Reporting Line

Reports to the Head of Legal / Legal Manager
